Terms of Service

Welcome, and thank you for your interest in Viprouter, Inc. ("Viprouter," "we," or "us") and our website and related websites, networks, applications, and other services provided by us (collectively, our "Service"). These Terms of Service are a legally binding contract between you and Viprouter regarding your use of the Service.

1. Service Overview

Viprouter operates a large language model aggregator where users may use this website to access third-party application programming interfaces ("APIs") to use a variety of generative artificial intelligence models listed on the Site ("Models"). Viprouter may add or remove Models from the Service at any time.

2. Eligibility

You must be at least 13 years of age to use the Service. By agreeing to these Terms, you represent and warrant that: (a) you are at least 13 years of age; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with all applicable laws and regulations. If you are under 18 years of age, you must have your parent or guardian's permission to use the Service. If you are using the Service on behalf of an entity, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Accounts and Registration

To access most features of the Service, you must register for an account. When you register, you may be required to provide information about yourself, such as your email address or other contact information. You agree that the information you provide is accurate and that you will keep it accurate and up-to-date at all times. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account.

4. Payment

4.1 Pre-Paid Credits; Refunds

Access to certain features of the Service may require you to pay fees for pre-paid credits linked to your account ("Credits"). Once purchased, unused Credits are valid for one (1) year from the date of purchase. Unused Credits within the validity period may be refunded in accordance with the refund policy published on this website. After the validity period expires, any remaining unused Credits will expire and shall not be refundable.

4.2 Credit Expiration

Credits are valid for one (1) year from the date of purchase. After the expiration date, any unused Credits will automatically expire and cannot be used or refunded. We will notify you in advance before your Credits expire.

4.3 Changes to Fees

If Viprouter changes the fees for the Service, Viprouter will provide you advance notice of those changes. If you do not accept the changes, Viprouter may discontinue providing the Service to you.

5. Model Terms

5.1 Applicability and Acceptance

You acknowledge that the Service enables you access to Models provided by Model Providers. By accessing or using any Model through the Service, you agree to comply with the applicable terms for each Model ("Model Terms"). You are solely responsible for reviewing the Model Terms applicable to each Model before accessing or using that Model.

5.2 Availability

Viprouter does not guarantee availability of any Model and provides you with access to the Models only on an "as-available" basis. Model uptime and performance are described in the applicable Model Terms.

5.3 Model Restrictions

You understand and acknowledge that certain Model Providers do not authorize users either (i) acting on behalf of certain entities or organizations, or (ii) who are located in certain countries or regions, to access their Models. You agree not to circumvent safeguards or measures implemented by Viprouter or Model Providers designed to restrict access to Restricted Models.

6. User Content

You may provide input into the Services, which may include images, data, text, and other types of work ("Input") and receive an output from the Services based on your Input ("Output", and collectively, the Input and Output are "User Content"). By making any User Content available through the Service, you hereby grant to Viprouter a non-exclusive, transferable, worldwide, royalty-free license to use, host, cache, store, reproduce, transmit, publicly display, publicly perform, publish, distribute, and modify your User Content solely in connection with operating and providing the Service.

You retain copyright and any other proprietary rights that you may hold in the Input. Your ownership rights in the Output are set forth in the Model Terms for each Model you use. Some Models may store or train on your Inputs for improving their own large language models and may allow you to opt-out of model training, as described in their Model Terms.

7. Prohibited Conduct

You agree not to:

• • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• • Submit content that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• • Attempt to gain unauthorized access to any part of the Service or any systems or networks connected to the Service
• • Use the Service to generate content that infringes on the intellectual property rights of others
• • Interfere with or disrupt the Service or servers or networks connected to the Service
• • Use automated means to access the Service for purposes of data scraping or extraction
• • Reverse engineer, decompile, or disassemble any part of the Service

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Viprouter and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Viprouter.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. VIPROUTER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

IN NO EVENT SHALL VIPROUTER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

11. Indemnification

You agree to defend, indemnify, and hold harmless Viprouter and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. Provisions of the Terms which by their nature should survive termination shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with (i) the laws of the jurisdiction in which you reside, to the extent such laws are mandatory and cannot be overridden by contract, and (ii) the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules, unless the dispute qualifies for resolution in the local courts of your jurisdiction under applicable mandatory local law.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any such changes constitutes acceptance of the new Terms.
